Terms of Service

1. Agreement to Terms

Noble Achievements LLC, operating as Wisdom Fruits ("we," "us," or "our"), provides audio book summaries with synced text highlighting and flexible listening formats through our mobile application and website (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Please also review our Privacy Policy. The terms of the Privacy Policy and any supplemental terms, policies, or documents posted on the Service are expressly incorporated herein by reference.

2. Definitions

• "Service" — the Wisdom Fruits mobile application, website, and all related features, content, and services
• "User" or "you" — any individual who accesses or uses the Service, whether as a registered user or guest
• "Content" — all book summaries, audio narrations, text, images, and other materials made available through the Service
• "Subscription" — a paid plan that grants access to premium features and the full Content library
• "User Content" — notes, collections, reading history, and other materials created by a User within the Service
• "App Store" — the Apple App Store, Google Play Store, or any other application distribution platform through which you may download the mobile application
• "We," "Us," or "Our" — Wisdom Fruits and its operators

3. Account Terms

Account Creation

You may create an account using email-based authentication, Google OAuth, or Sign in with Apple. You are responsible for providing accurate information during registration and for maintaining the security of your account credentials.

Account Responsibilities

You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

Guest Mode

You may access the Service in a limited capacity without creating an account. Guest users have restricted access to features and content. Some functionality, including saving notes, creating collections, and accessing premium content, requires a registered account.

Age Requirement

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service.

Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users. You may delete your account at any time through the app (Profile > Delete Account), which will permanently remove your account and all associated data.

4. Subscription and Billing

Subscription Plans

Wisdom Fruits offers monthly and annual subscription plans for "Wisdom Fruits Premium," which provides access to the full Content library and premium features. Details of available plans and pricing are displayed within the app and on our website.

Free Trial

New subscribers are currently offered a one-month free trial on both the monthly and annual plans, subject to eligibility rules set by the platform you subscribe through. On the App Store and Google Play the trial is one calendar month, so its exact length depends on the month it starts in; on the web it is 30 days. If you cancel at least 24 hours before the trial ends, you are not charged. If you do not, your subscription will automatically convert to a paid subscription at the applicable rate. Trial eligibility is determined by the App Store, Google Play or our web payment processor — typically one trial per account — and we reserve the right to modify or terminate free trial offers at any time and to limit eligibility to prevent abuse.

Billing and Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. The renewal charge will be at the then-current subscription rate. You authorize us and the applicable App Store or payment processor to charge the applicable fees to your chosen payment method.

Payment Processing

Payments are processed through the platform where you purchased your subscription — the Apple App Store (iOS), Google Play (Android), or our web payment processor. Wisdom Fruits does not directly store your payment credentials. All payment information is handled securely by the respective payment processor.

Cancellation

You may cancel your subscription at any time through your platform's subscription settings (iOS Settings, Android Settings, or the web billing portal). Upon cancellation, you will retain access to premium features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period. Deleting the app does not cancel your subscription.

Refunds

Refund requests are handled by the platform through which you purchased your subscription (Apple, Google, or our web payment processor), in accordance with their respective refund policies.

Price Changes

We may change subscription pricing from time to time. If we change pricing, we will provide notice in advance. Existing subscribers will continue at their current rate until the next renewal period, at which point the new pricing may apply.

EU Right of Withdrawal

If you are located in the European Economic Area (EEA) or the United Kingdom, you have the right to withdraw from a digital content purchase within fourteen (14) days of the transaction without giving any reason, provided that the digital content has not yet been delivered or that you have not expressly consented to the immediate performance of the service. By beginning to use the Service (including starting a free trial that converts to a paid subscription), you expressly consent to the immediate delivery of digital content and acknowledge that you lose your right of withdrawal once the content is delivered. To exercise your right of withdrawal, contact us at contact@wisdomfruits.com before the content is delivered.

5. Content and Intellectual Property

License Grant

Subject to your compliance with these Terms and any applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial use only.

Content Ownership

All Content — including book summaries, audio narrations, and other generated materials — is the intellectual property of Wisdom Fruits or its licensors. All rights not expressly granted in these Terms are reserved.

Educational Purpose

The Content is provided for educational and informational purposes only. Book summaries represent condensed interpretations of the original works and are not a substitute for reading the original books. None of the authors whose works are summarized endorses, sponsors, or is affiliated with Wisdom Fruits.

Restrictions

You may not:

• Redistribute, sublicense, sell, or make the Content available to any third party
• Publicly perform, broadcast, or display the Content
• Copy, modify, or create derivative works from the Content
• Remove or alter any proprietary notices on the Content
• Use the Content for any commercial purpose

User Content

Notes, collections, reading history, and other User Content you create within the Service remain your property. By using the Service, you grant us a limited license to store, display, and process your User Content solely for the purpose of providing and improving the Service.

Content Availability

We reserve the right to modify, remove, or discontinue any Content at any time without prior notice. We do not guarantee that specific Content will always be available through the Service.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

6. Acceptable Use

Permitted Use

You may use the Service for lawful, personal, non-commercial purposes in compliance with these Terms and all applicable laws and regulations.

Prohibited Activities

You agree not to:

• Scrape, crawl, or use automated means to access the Service or extract Content without our written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent, disable, or interfere with any access controls, security features, or usage restrictions of the Service
• Interfere with or disrupt the operation of the Service, servers, or networks connected to the Service
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service to transmit any malware, viruses, or other harmful code
• Redistribute, republish, or share Content obtained through the Service

Enforcement

Violation of this section may result in immediate suspension or termination of your account, at our sole discretion, with or without notice.

7. Mobile Application and App Stores

Mobile Application License

We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the mobile application on devices owned or controlled by you, solely for your personal, non-commercial purposes and in accordance with these Terms.

App Store Terms

You acknowledge and agree that the availability of the mobile application is dependent on the App Store from which you obtained it. You agree to comply with all applicable App Store terms and conditions. The following additional terms apply:

• The license granted to you is limited to a non-transferable license to use the application on a device that uses the Apple iOS or Android operating system, as applicable, and in accordance with the App Store's terms of service
• We are responsible for providing maintenance and support services for the mobile application as required under applicable law; the App Store has no obligation to provide maintenance or support
• In the event of any failure of the application to conform to any applicable warranty, you may notify the applicable App Store, and the App Store may refund the purchase price (if any) for the application; to the maximum extent permitted by law, the App Store has no other warranty obligation with respect to the application
• You represent and warrant that you are not located in a country subject to a U.S. government embargo, or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties
• You acknowledge and agree that the App Stores are third-party beneficiaries of these Terms, and that each App Store will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary

8. Copyright Infringement

We respect the intellectual property rights of others. If you believe that any Content available through the Service infringes upon any copyright you own or control, please notify us immediately at contact@wisdomfruits.com with the following information:

• A description of the copyrighted work that you claim has been infringed
• A description of where the infringing material is located within the Service
• Your contact information (name, address, telephone number, and email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notification is accurate and that you are the copyright owner or authorized to act on the owner's behalf
• Your physical or electronic signature

We will respond to notices of alleged copyright infringement in accordance with applicable law, including the Digital Millennium Copyright Act (DMCA). We reserve the right to remove Content alleged to be infringing and to terminate the accounts of repeat infringers.

9. Disclaimers and Warranties

The Service and all Content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Content is a substitute for reading the original books in full

10. Limitation of Liability

To the maximum extent permitted by applicable law, Wisdom Fruits and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Service.

In no event shall our total aggregate liability exceed the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wisdom Fruits and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any User Content you create or submit through the Service

12. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall first be resolved through good-faith negotiation between the parties. If the Dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved through binding, individual arbitration in accordance with the rules of the American Arbitration Association ("AAA"). You understand that by agreeing to arbitration, you are waiving your right to a jury trial.

Arbitration Exceptions

Either party may seek relief in small claims court as an alternative to arbitration, provided the claim falls within the court's jurisdictional limits. Either party may also seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the infringement or misappropriation of intellectual property rights.

Class Action Waiver

You and Wisdom Fruits agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Arbitration Opt-Out

You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice to contact@wisdomfruits.com with the subject line "Arbitration Opt-Out." Your notice must include your full name and clearly state your intent to opt out. If you opt out, disputes will be resolved in the state or federal courts located in the State of Wyoming.

Limitation Period

Any Dispute must be commenced within one (1) year after the cause of action arises, or the claim is permanently barred.

EU Users

If you are a resident of the European Union, nothing in these Terms shall deprive you of the protection afforded by the mandatory rules of law of your country of residence. You may bring proceedings in the courts of your country of habitual residence. For online dispute resolution, you may access the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and provide additional notice within the app. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. General Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wisdom Fruits regarding the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.

Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Wisdom Fruits.

Assignment

We may assign or transfer our rights and obligations under these Terms to any other person or entity, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights under these Terms without our prior written consent.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay arises from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemics, power outages, internet disruptions, or government actions.

Electronic Communications

By using the Service, you consent to receiving electronic communications from us, including emails, push notifications, and in-app notices. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
